Terms and Conditions

1. Scope

These Terms and Conditions apply to all advisory and service agreements between UniExe (sole proprietorship, owner Vladimir Lysow, hereinafter "UniExe") and its clients (natural or legal persons, hereinafter "Client").

Deviating terms of the Client are only recognised if UniExe has expressly agreed to them in writing.

2. Service Offering

UniExe provides the following services:

UniExe provides advisory and coordination services exclusively. UniExe is not a licensed fiduciary, lawyer or tax advisor and does not conclude insurance contracts, mortgages or other financial products.

4. Prices and Packages

4.1 One-time services

Plus official fees (commercial register entry, notary costs etc.) — these are invoiced separately and passed through.

4.2 Time-based advisory

For services not defined as a package, an hourly rate from CHF 150.– / hour applies, depending on effort and complexity. Effort is invoiced by agreement.

4.3 Ongoing engagement

Ongoing engagements and retainer mandates are agreed individually based on effort and scope. The hourly rate stated above (from CHF 150.– / hour) applies.

All prices are in Swiss Francs (CHF). UniExe is not VAT-liable (Art. 10 Swiss VAT Act).

5. Payment Terms

In case of payment default, default interest of 5% p.a. according to Art. 104 Swiss Code of Obligations (OR) is charged. UniExe reserves the right to suspend outstanding services until full payment is received.

6. Contract Term and Termination

One-time services

The contract ends with full delivery of the agreed service.

Ongoing engagement mandates

Ongoing engagement mandates are agreed individually. Minimum term, notice periods and conditions are specified in the respective order confirmation. As standard, a notice period of 30 days to month-end applies.

Extraordinary termination

Both parties may terminate the contract without notice for good cause. Good cause includes in particular: payment default of more than 30 days, breach of material contractual obligations or insolvency.

7. Client Obligations

The Client undertakes to:

Delays attributable to the Client's failure to cooperate do not release UniExe from the agreed services, but entitle UniExe to adjust the timeline.

8. Liability

UniExe is liable for damages caused by demonstrably faulty advice up to the value of the engagement agreed in the individual case.

Liability is excluded for:

UniExe assumes no liability for decisions of commercial register authorities, tax authorities, notaries or other third parties.

9. Confidentiality

UniExe treats all information received in the context of the engagement confidentially and does not disclose it to third parties without the Client's express consent — with the exception of specialist partners (notary, fiduciary) as necessary for the performance of the engagement.

This confidentiality obligation applies indefinitely beyond the end of the contractual relationship.

10. Applicable Law and Jurisdiction

These Terms and all contracts between UniExe and the Client are subject exclusively to Swiss law.

Exclusive place of jurisdiction for all disputes is Zurich, provided the Client is based in Switzerland. For clients based abroad, Zurich also serves as the place of jurisdiction.

11. Final Provisions

Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.

UniExe reserves the right to amend these Terms at any time. For existing contracts, the Terms in force at the time of contract conclusion apply.
